Partner Program Terms
Please read these terms carefully before participating in the DispatchNode Partner Program.

01Program Overview
The DispatchNode Partner Program (“Program”) allows approved partners (“Partners”) to earn commissions by referring new paying customers to DispatchNode’s field-service management platform. By enrolling in the Program, you agree to be bound by these Partner Program Terms (“Terms”).
The Program is operated by DispatchNode Inc. (“DispatchNode,” “we,” “us,” or “our”). These Terms constitute a binding agreement between you and DispatchNode.
02Eligibility & Approval
Participation in the Program is by application only. All applications are subject to review and approval at DispatchNode’s sole discretion. We reserve the right to reject any application for any reason, including but not limited to:
- Incomplete or fraudulent application information
- Websites or channels containing inappropriate, misleading, or unlawful content
- Applicants with no demonstrable audience or distribution channel
- Applicants operating in a manner that could harm the DispatchNode brand
DispatchNode may request additional information or documentation before approving an application. Approval of an application does not guarantee continued participation; we may revoke Partner status at any time in accordance with Section 8.
03Commission Structure
Partners earn 100% of the referred customer’s first month’s subscription payment as a one-time commission per qualifying conversion. Commission amounts vary by plan tier:

Commissions are calculated on the base subscription amount and exclude taxes, one-time setup fees, and add-on charges unless explicitly stated otherwise.
0460-Day Quality Lock
All commissions are subject to a 60-day quality lock periodbeginning on the date the referred customer’s first payment is processed. During this period:
- The commission is earned but held in a pending state and is not eligible for payout.
- If the referred customer cancels, requests a refund, or disputes the charge within the 60-day window, the commission is forfeited entirely.
- If the referred customer remains active and in good standing after 60 days, the commission transitions to “approved” status and becomes eligible for payout.
This lock period ensures that commissions are only paid for genuine, retained customers and protects against churn-and-burn referral tactics.
056-Month Clawback Policy
Even after a commission has been paid out, it remains subject to a 6-month clawback window from the date of payout. If a referred customer cancels their DispatchNode subscription within 6 months of the commission payout date:
- The full commission amount will be clawed back as a negative balanceapplied against the Partner’s future earnings.
- The negative balance will be deducted from subsequent commission payouts until fully recovered.
- If the Partner’s account is terminated before the negative balance is recovered, DispatchNode reserves the right to collect the outstanding amount through other means.
This policy incentivizes Partners to refer high-quality customers who are genuinely interested in DispatchNode’s services.
06Payout Terms
- Minimum payout threshold: $5.00 USD. Commissions below this threshold will accumulate until met.
- Payment method: All payouts are processed exclusively via Stripe Connect. Partners must connect a valid Stripe account to receive payouts.
- Payout schedule:Payouts are admin-triggered (not automatic). DispatchNode processes approved commissions on a regular basis, typically within 30 days of a commission reaching “approved” status.
- Currency: All commissions are denominated and paid in United States Dollars (USD).
- Tax responsibility: Partners are solely responsible for reporting and paying any taxes owed on commission income. DispatchNode may issue tax forms as required by applicable law.
07Prohibited Conduct
The following activities are strictly prohibited and may result in immediate termination from the Program, forfeiture of pending commissions, and clawback of paid commissions:
- Self-referral: Referring yourself, your own company, or any entity you own, control, or are employed by in order to earn commissions.
- Cookie stuffing: Using techniques to artificially set tracking cookies, iframes, or redirect chains to claim credit for referrals you did not genuinely generate.
- Misleading advertising:Making false, exaggerated, or misleading claims about DispatchNode’s products, pricing, features, or capabilities in any promotional material.
- Trademark misuse:Using DispatchNode’s name, logo, trademarks, or other brand assets in any manner not expressly authorized, including in paid search ads bidding on DispatchNode branded terms.
- Spam or unsolicited communications: Sending bulk unsolicited emails, messages, or communications to promote DispatchNode referral links.
- Incentivized sign-ups: Offering cash, gift cards, or other incentives to individuals solely for signing up, without genuine intent to use the service.
08Modification & Termination
Modifications: DispatchNode reserves the right to modify these Terms at any time. Material changes will be communicated to Partners via email or through the Partner Portal at least 14 days prior to taking effect. Continued participation in the Program after the effective date constitutes acceptance of the modified Terms.
Termination by Partner: You may withdraw from the Program at any time by contacting partners@dispatchnode.com. Pending commissions that have cleared the 60-day quality lock will still be paid out, subject to the clawback policy.
Termination by DispatchNode: We may suspend or terminate your participation in the Program at any time, with or without cause, by providing written notice. Grounds for immediate termination without notice include violation of any provision in Section 7 (Prohibited Conduct).
Effect of termination: Upon termination, all pending (locked) commissions are forfeited. Approved but unpaid commissions will be paid out within 60 days, subject to the clawback policy and any outstanding negative balance.
09General Provisions
Independent contractor: Partners are independent contractors and not employees, agents, or representatives of DispatchNode. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
No exclusivity: These Terms do not grant any exclusive rights. DispatchNode may engage other partners, affiliates, or marketing channels at its discretion.
Limitation of liability:In no event shall DispatchNode’s total liability to a Partner under these Terms exceed the total commissions paid to that Partner in the 12 months preceding the claim.
Governing law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
