Terms of Service

1. Acceptance of Terms

By accessing or using the DispatchNode platform, mobile application, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

DispatchNode provides a field service automation platform including AI-powered voice agents, dispatch management, scheduling, payment processing, and related tools for business operators. The Service is provided on a subscription basis.

3. Accounts & Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@dispatchnode.com if you suspect unauthorized access.

4. Subscription, Overages & Billing

Paid plans are billed on a recurring basis. You authorize us to charge your payment method on file. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Free trial periods, if offered, convert to paid subscriptions unless cancelled before the trial ends.

Overage Protection: Your 7-day free trial and paid plans include a specific minute allowance. If you exceed this allowance, your account will be charged for additional minutes according to the auto-recharge amount you configured at onboarding. If you set your auto-recharge amount to $0, your account will enter a strict-pause state and your AI agent will stop answering calls until the next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Use the AI voice agents for harassment, fraud, or deceptive practices
• Resell, sublicense, or redistribute the Service without written permission
• Transmit any malware, viruses, or harmful code through the Service

6. AI Voice Agent Usage

Our AI voice agents conduct calls on your behalf. You are responsible for ensuring calls comply with all applicable telemarketing, recording consent, and communications laws in your jurisdiction, including but not limited to the TCPA. DispatchNode is not liable for regulatory violations arising from your configuration of the AI agent.

7. Data & Content

You retain ownership of all data you submit to the Service ("Your Data"). You grant DispatchNode a limited license to process Your Data solely to provide the Service. We will not sell Your Data to third parties. Call recordings, transcripts, and customer information are stored securely and accessible only to your organization.

8. Intellectual Property

The Service, including all software, AI models, designs, and documentation, is owned by DispatchNode and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it per these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI AGENTS WILL PERFORM FLAWLESSLY IN ALL SCENARIOS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHNODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Cancellation & Portability

Either party may terminate at any time. We may suspend or terminate your access immediately if you violate these Terms. If you cancel your subscription, it will remain active until the end of your current billing cycle. After your cycle ends, your account will enter a Read-Only state.

Data Portability: You may export all of your data and download your CSR (Customer Service Record) to port your provisioned phone number to a new carrier at any time from the dashboard, even in a read-only suspended state.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
